Upsoni services are meant to be used to connect users with calendars and events in which they may have an interested. In order to support this goal, users:
   Must not post any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable;
   Must not interfere with the operation of the Upsoni site or use Upsoni site or services to attempt to attack other sites or services;
   If you choose to submit suggestions or ideas to Upsoni, you acknowledge and agree that your submission does not contain proprietary information, Upsoni may already have similar ideas under consideration, and Upsoni may or may not use the idea without compensation to you;
   You agree to indemnify and hold Upsoni and its subsidiaries, affiliates, officers, agents, employees, partners and licensors harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of Content you submit, post, transmit, modify or otherwise make available through the Upsoni Services, your use of the Upsoni Services, your violation of these TOS, or your violation of any rights of another;
   You agree to not resell or commercially use Upsoni services or products without written permission;
   We have no obligation to provider any services or support, nor do we provide any service level agreement, backups, or any guarantees of availability or performance;
   You undestand that any interaction between you and Upsoni services may flow across state and national boundaries, and across networks that may be insecure;
   You undestand that interaction with Upsoni services or content you provide may be cached, saved on archival media, or saved by other users. Once images or other content is generated, it is generally impossible to completely control its propagation;
   You agree that Upsoni may terminate you account or content you have provided with or without reason at its sole discretion;
   You understand that Upsoni may provide advertisements anywhere on the Upsoni site or other web properties or applications that Upsoni provides;
   You understand that there may be links on the Upsoni site, and Upsoni is not responsible for the linked content;
   You agree that the code and services that Upsoni has created are owned by Upsoni and all proprietary rights are retained by Upsoni;
   You agree that there are no third party beneficiaries to this agreement;
   You agree to abide by application laws;

Upsoni Corporation provides no warrantee of any type related to Upsoni services. You expressely understand that:
   You use Upsoni services at your own risk;
   Upsoni employees, subsidiaries, agents, and officers make no warrantee of any type related to Upsoni services;
   Upsoni will not be responsible for any injury you experience, including any emotional, psychological, physical, economic or any other injury or theory;

You and Upsoni each agree that the TOS and the relationship between the parties shall be governed by the laws of the Republic of Georgia without regard to any conflict of law provisions and that any and all claims, causes of action or disputes (regardless of theory) arising out of or relating to the TOS, or the relationship between you and Upsoni, shall be brought exclusively in the courts located in the city of Tbilisi, Republic of Georgia. You and Upsoni agree to submit to the personal jurisdiction of the courts located within the city of Tbilisi, Republic of Georgia, and agree to waive any and all objections to the exercise of jurisdiction over the parties by such courts and to venue in such courts.
